As you are aware, over the past 12 months or so we have appointed two new Independent Directors, Sue Sheldon who you have met, and Whaimutu Dewes.

I note your recent discussions with Sue Sheldon and David Baldwin, and am pleased    you have found them meaningful.

In relation to your comments on Phil Pryke, the question of a director's independence      is determined with reference to the requirements of the NZX Listing Rules. The           Board has determined that Mr Pryke meets these requirements.
